Please read these Terms of Service carefully before using our elite cybersecurity protection services.
Important Legal Notice
These Terms of Service constitute a legally binding agreement between you and CyberImperials. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree with any part of these terms, you must not use our services.
1. Agreement Overview
These Terms of Service govern your access to and use of CyberImperials' cybersecurity services, including but not limited to personal protection, family security, executive defense, and threat intelligence services.
1.1 Services Description
CyberImperials provides elite cybersecurity protection services tailored for high-net-worth individuals, executives, and their families. Our services include comprehensive digital protection, threat monitoring, incident response, and security consulting.
1.2 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.
2. Service Engagement
2.1 Service Agreement
Engagement of CyberImperials services requires execution of a separate Service Agreement that outlines specific services, terms, fees, and responsibilities. These Terms of Service are incorporated by reference into all Service Agreements.
2.2 Service Levels
Services are provided at different levels based on client needs and risk profiles. Specific service levels, response times, and coverage details are outlined in individual Service Agreements.
3. Client Responsibilities
3.1 Accurate Information
You agree to provide accurate, current, and complete information during the engagement process and to promptly update any information that changes during the service period.
3.2 Security Cooperation
You agree to cooperate with CyberImperials security recommendations and implement recommended security measures to ensure optimal protection. Failure to implement critical security recommendations may affect service effectiveness.
3.3 Legal Compliance
You represent and warrant that your use of our services complies with all applicable laws, regulations, and third-party agreements.
4. Privacy and Confidentiality
4.1 Privacy Protection
CyberImperials maintains strict confidentiality regarding client information. Our privacy practices are detailed in our separate Privacy Policy, which is incorporated by reference into these terms.
4.2 Data Security
We implement enterprise-grade security measures to protect client data. However, no security system is impenetrable, and we cannot guarantee absolute security.
4.3 Legal Disclosure
We may disclose information when required by law or when we believe disclosure is necessary to protect our rights, protect your safety or the safety of others, or investigate fraud.
5. Payment Terms
5.1 Fees and Billing
Service fees are outlined in individual Service Agreements. Payment terms, including due dates and acceptable payment methods, are specified in the billing documentation provided to you.
5.2 Tax Responsibility
You are responsible for paying all applicable taxes related to service fees, unless otherwise specified in your Service Agreement.
6. Intellectual Property
6.1 Service Materials
All service methodologies, protocols, documentation, and proprietary technology remain the intellectual property of CyberImperials. Clients receive a limited license to use these materials solely in connection with the services provided.
6.2 Client Materials
You retain ownership of any data, information, or materials you provide to CyberImperials. You grant us a limited license to use this information solely for providing the contracted services.
7. Limitations of Liability
7.1 Service Limitations
While CyberImperials employs industry-leading security practices, we cannot guarantee complete protection against all cyber threats. The evolving nature of cybersecurity threats means that absolute security cannot be guaranteed.
7.2 Liability Cap
To the maximum extent permitted by law, CyberImperials' total liability for any claim arising from these terms or our services shall not exceed the total fees paid by you for services during the six-month period preceding the claim.
7.3 Excluded Damages
In no event shall CyberImperials be liable for any indirect, punitive, incidental, special, or consequential damages arising from these terms or the services provided.
8. Service Modifications and Termination
8.1 Service Changes
CyberImperials reserves the right to modify or discontinue services with reasonable notice to clients. Material changes to these Terms of Service will be communicated with at least 30 days' notice.
8.2 Termination Rights
Either party may terminate services in accordance with the termination provisions outlined in the Service Agreement. Termination does not relieve either party of obligations incurred prior to termination.
9. Dispute Resolution
9.1 Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction specified in your Service Agreement, without regard to its conflict of law provisions.
9.2 Arbitration
Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules specified in your Service Agreement, rather than in court.
10. Definitions
11. General Provisions
11.1 Entire Agreement
These Terms of Service, together with the Privacy Policy and Service Agreement, constitute the entire agreement between you and CyberImperials regarding the services.
11.2 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
11.3 Assignment
You may not assign these Terms of Service without CyberImperials' prior written consent. CyberImperials may assign these terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
11.4 Force Majeure
CyberImperials shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
